Welcome to UIRepo. By accessing or using our marketplace platform, you agree to be bound by these Terms of Service. Please read them carefully before using our services.

1. Acceptance of Terms

By creating an account, accessing, or using UIRepo, you agree to comply with and be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our services.

We reserve the right to modify these terms at any time. Your continued use of UIRepo after changes are posted constitutes acceptance of the updated terms.

2. Description of Service

UIRepo is a digital marketplace that enables developers and programmers to sell and purchase code components, UI sections, templates, and other digital products ("Content"). We provide the platform and infrastructure, but we are not a party to the actual transactions between buyers and sellers.

3. Eligibility

You must be at least 18 years old to use UIRepo. By using our services, you represent and warrant that:

You are at least 18 years of age
You have the legal capacity to enter into binding contracts
You are not prohibited from using our services under applicable laws
All information you provide is accurate and up-to-date

4. Account Registration and Security

To use certain features of UIRepo, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Keep your password secure and confidential
Notify us immediately of any unauthorized access to your account
Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent, abusive, or illegal activities.

5. Seller Terms

5.1 Content Ownership and Rights

As a seller, you represent and warrant that:

You own or have the necessary rights to sell the Content you upload
Your Content does not infringe on any third-party intellectual property rights
Your Content does not contain malicious code, viruses, or security vulnerabilities
You have the authority to grant the licenses described in these terms

5.2 License to Buyers

When you sell Content on UIRepo, you grant buyers a non-exclusive, worldwide, perpetual license to:

Use the Content in their own projects (personal or commercial)
Modify and customize the Content for their needs
Deploy the Content as part of their applications or websites

Buyers may NOT:

Resell, redistribute, or sublicense the original Content
Claim authorship or ownership of the Content
Use the Content in a way that competes with UIRepo

5.3 License to UIRepo

By uploading Content, you grant UIRepo a non-exclusive, worldwide license to:

Display, promote, and distribute your Content on our platform
Use your Content in marketing materials and promotional activities
Create thumbnails, previews, and derivative works for display purposes

5.4 Content Guidelines

Sellers must ensure their Content:

Is well-documented with clear usage instructions
Does not contain malicious, harmful, or obfuscated code
Meets reasonable quality standards
Has accurate descriptions and preview images

6. Buyer Terms

6.1 License Grant

When you purchase Content, you receive a non-exclusive license as described in Section 5.2. You are responsible for ensuring the Content meets your requirements before purchasing.

6.2 No Warranty

Content is provided "as is" without warranties of any kind. Sellers are responsible for the quality and accuracy of their Content. UIRepo does not guarantee that Content will be error-free, compatible with your systems, or meet your specific needs.

6.3 Support

Sellers may, but are not obligated to, provide support for their Content. Any support arrangements are between you and the seller directly.

7. Payment Terms

7.1 Payment Processing

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms and conditions. UIRepo does not store your full credit card information.

7.2 Pricing and Fees

Sellers set their own prices for Content. UIRepo charges a platform fee on each transaction, which is deducted before funds are transferred to sellers. All fees and pricing are displayed before purchase.

7.3 Taxes

Prices may not include applicable taxes. You are responsible for determining and paying any taxes associated with your transactions. Sellers are responsible for tax reporting and compliance in their jurisdiction.

7.4 Refunds

Due to the digital nature of our products, all sales are final. Refunds may be issued at our sole discretion in cases of:

Duplicate purchases made in error
Content that materially differs from its description
Technical issues preventing download or access

Refund requests must be submitted within 7 days of purchase to igor@duca.dev.

8. Intellectual Property

8.1 Platform Ownership

UIRepo, including its design, features, functionality, and branding, is owned by Igor Duca and protected by intellectual property laws. You may not copy, modify, or create derivative works of our platform.

8.2 Copyright Infringement (DMCA)

We respect intellectual property rights and expect our users to do the same. If you believe Content on UIRepo infringes your copyright, please contact us at igor@duca.dev with:

Description of the copyrighted work you claim has been infringed
URL or location of the allegedly infringing Content
Your contact information
A statement of good faith belief that the use is not authorized
A statement that your notification is accurate
Your physical or electronic signature

We will investigate and take appropriate action, which may include removing the Content and terminating repeat infringers' accounts.

9. Prohibited Conduct

You agree not to:

Upload Content containing malicious code, viruses, or security exploits
Engage in fraudulent transactions or chargebacks
Manipulate reviews, ratings, or search rankings
Harass, threaten, or abuse other users
Violate any applicable laws or regulations
Attempt to bypass security measures or access restricted areas
Scrape, crawl, or use automated tools to access our platform
Impersonate others or misrepresent your affiliation
Use UIRepo for illegal purposes or to distribute prohibited content

10. Content Moderation and Removal

We reserve the right to:

Review, monitor, and remove Content that violates these terms
Suspend or terminate accounts for violations
Refuse service to anyone for any reason
Modify or discontinue features or services

However, we are not obligated to monitor all Content and are not responsible for user-generated content on our platform.

11. Disclaimers

UIREPO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE ARE NOT RESPONSIBLE FOR THE QUALITY, ACCURACY, OR LEGALITY OF CONTENT POSTED BY USERS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UIREPO AND IGOR DUCA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless UIRepo, Igor Duca, and our affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of our services
Your violation of these terms
Your violation of any third-party rights
Content you upload or sell on UIRepo

14. Dispute Resolution and Governing Law

These Terms of Service are governed by the laws of Brazil. Any disputes arising from these terms or your use of UIRepo shall be resolved through:

Good faith negotiations between the parties
Mediation, if negotiations fail
Binding arbitration or litigation in Brazilian courts as a last resort

15. Termination

You may terminate your account at any time by contacting us at igor@duca.dev. We may suspend or terminate your account if you violate these terms, engage in fraudulent activity, or for any other reason at our discretion.

Upon termination:

Your access to UIRepo will be revoked
Licenses granted to buyers for purchased Content remain valid
Outstanding payment obligations remain enforceable
Provisions that should survive termination (liability, indemnification) will continue

16. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and UIRepo regarding your use of our services and supersede any prior agreements.
